Composition of Konecranes Plc’s Shareholders’ Nomination Board

 

Konecranes has a Shareholders' Nomination Board which prepares proposals to the Annual General Meeting, and, if necessary, to an Extraordinary General Meeting, for the election and remuneration of the members of the Board of Directors and to identify potential Board member candidates.

 

The Shareholders' Nomination Board is comprised of one member appointed by each of the four largest shareholders of Konecranes Plc. The shareholders entitled to appoint a member are determined on the basis of the shareholders' register of the Company maintained by Euroclear Finland Ltd. on May 31 each year.

 

The following members have been appointed to Konecranes’ Shareholders Nomination Board:

 

  • Matts Rosenberg, CEO of Solidium (effective 1.10.2025), appointed by Solidium Oy with 8,793,123 shares,
  • Annika Paasikivi, Executive Chair of Oras Invest, appointed by Oras Invest Oy with 2,710,000 shares,
  • Markus Aho, Deputy CEO, Chief Investment Officer of Varma, appointed by Varma Mutual Pension Insurance Company with 2,702,201 shares,
  • Esko Torsti, Head of Alternative Investments of Ilmarinen, appointed by Ilmarinen Mutual Pension Insurance Company with 2,494,239 shares.

 

Pasi Laine, the Chair of the Konecranes’ Board of Directors, serves as an expert in the Nomination Board without being a member.

 

The now appointed Nomination Board will forward its proposals for the 2026 Annual General Meeting to the Board of Directors by January 31, 2026.
